Prospectus excerpt: This is an offering of $275,000,000 of 8.75% Junior Subordinated Debentures to be issued by American Electric Power Company, Inc., a New York corporation. We will pay interest on the debentures at a rate of 8.75% per annum on March 1, June 1, September 1, and December 1 of each year unless payment is deferred as described below. The first such payment will be made on June 1, 2008. The debentures will be issued in registered form and in denominations of $25 and integral multiples thereof. The debentures will mature on March 1, 2063, subject to extensions to no later than March 1, 2068, as described in this prospectus supplement. We may defer interest payments on the debentures on one or more occasions for up to 10 consecutive years as described in this prospectus supplement. Deferred interest payments will accrue additional interest at a rate equal to the interest rate on the debentures, compounded on each interest payment date, to the extent permitted by law.
