Prospectus excerpt: We are offering up to 1,600,000 shares of our Series D Cumulative Convertible Preferred Stock, without par value per share (“Series D Preferred Stock”). We will pay cumulative cash dividends on the Series D Preferred Stock, from the date of original issue to, but not including, September 21, 2023, at a rate of 8.75% per annum of the $25.00 liquidation preference per share (equivalent to the fixed annual amount of $2.1875 per share) (the “Initial Rate”). Dividends on the Series D Preferred Stock will be payable quarterly in arrears on each January 15th, April 15th, July 15th and October 15th of each year, when, as and if authorized by our Board of Directors and declared by us. Holders of shares of Series D Preferred Stock offered hereby will be entitled to receive the full amount of all dividends payable on such shares of the Series D Preferred Stock from and including the first day of the dividend period in which such shares are originally issued. Holders of shares of Series D Preferred Stock will not be entitled to receive dividends paid on any dividend payment date if such shares were not issued and outstanding on the record date for such dividend. The Series D Preferred Stock will rank (a) pari passu with our (i) Series A Preferred Stock, without par value per share (“Series A Preferred Stock”) and (ii) Series B Preferred Stock, without par value per share (“Series B Preferred Stock”), and (b) senior to our common stock, $0.01 par value per share, with respect to priority of dividend payments and rights upon our liquidation, dissolution or winding up.
